Of the above entities the first three can be formed by: Any Individual or Local Business Incorporate and the latter three can be formed by: Foreigner Business Incorporate.

The next step is to know the requirements to form a company in the backdrop of the business entity which you have decided to form. The following are the pre-requisites for the Company Registration in Singapore.
Company Name
- Directors – (Should
be at least 18 years old) Minimum 1, A Singapore permanent resident or one who
has an Entre Pass, Employment Pass or Dependent Pass or A Singapore citizen
- Shareholders –
Minimum 1 (A Director and Shareholder can be the same person or different)
irrespective whether he/she is a local or foreigner
- Company Secretary – Should
be a Singapore resident and a qualified one. Appointment should take place
within 6 months of incorporation of the Company.
- Required Paid-up
Capital is minimum S$1 (it can increase at any point of time subsequent to
company registration)
A local Singapore
Address is necessary and should be a registered one which will serve as the
company’s Address.
With all the above requirements ready in the form of valid documents also keep ready a brief description of business activity and Memorandum of Articles of Association (M&A).
With this paperwork completed, now you are ready to go through the process or Company Registration which is a two step procedure i.e.
- Company Name approval and
- Singapore Company Registration.
For Name approval filing an application with the Company Registrar is necessary. If the name selected by you is not registered earlier by any other company then there is no problem but additionally you need to see that the name you have selected should not have any vulgar expression or infringement of any trade mark.
After the Name approval you can file for Singapore Company Registration. The Registration process gets over in few hours. The Company Registrar will send you an official notice through e-mail confirming your incorporation and you will be issued a Company Registration Number which will be an official Certificate of Incorporation in Singapore. A hard copy of this is not issued however if you wish to have it then it can be obtained for a fee of S$50.
You can now go ahead with the opening of Bank Account and
depending on the type of your business activity certain business licenses can
be obtained. After this you are now free to proceed with the conduction of your
business activity and make the most of the opportunity before you as a Singapore Registered Company.
