How to Register A Company in Delhi?

What are the required steps for company registration in Delhi?

1. Name approval through RUN (Reserve Unique Name) system.

2. Keep ready the documents to be uploaded as given in the information Kit to be downloaded from MCA portal along with the Form for incorporation i.e. SPICe (Simplified Performa for Incorporating the Company Electronically)

3. Fill the incorporation application with the help of SPICe (Simplified Performa for Incorporating the Company Electronically) Form.

Detailed steps for company registration in Delhi, India:

1. For name Approval

1.1 Login in MCA Portal-Click on RUN (Unique)-give proposed (Maximum 2 Names as per preference)-pay fees of Rs 1000/-.

a. That the fees of Rs 1000/- are valid for only one time only, irrespective of approval or rejection.

b. Reserved name shall be valid for 20 days from the date of approval of Name.

c. Reserved name shall be valid for 60 days in case of allotment of a name for existing Company (Change of Name).

2. Obtain DSC (Digital Signature Certificate) for the company for attaching a signature to documents, forms.

3. Prepare all the documents to be prepared as per the attachment list is given in help kit along with SPICe.

4. For Incorporation: Fill the application form SPICe after downloading from MCA site. With the use of this single form SPICe, you can apply DIN for Directors, PAN and TAN for the company.

4.1 Fill in SPICE INC 32 form:

This single Form can be used for the following purpose altogether:

a. Name availability-RUN application

b. DIN application for Directors (Maximum 3 Directors)

c. ROC registration

d. PAN/TAN application of the company.

Apart from the above information that can be filled pertaining to company registration through SPICE INC 32 are following:

a. Subscriber details:-Maximum 7. However in the case of more than 7 directors physical signed copy of MOA and AOA.

b. Directors details:-Maximum 20.

c. DIN application:-Maximum 3.

4.2 Attachments of SPICE INC 32:

· INC-9Affidavit/ declaration by first subscriber(s) and director(s) (on duly authorized Stamp Papers).

· DIR-2 declaration from first Directors along with Copy of Proof of Identity and residential address.

· NOC from the owner of the property.

· Proofs of Office address (Conveyance/ Lease deed!/ Rent Agreement etc. along with rent receipts);

· Copy of the utility bills (not older than two months)

· All the Subscribers should have Digital Signature

5. Fill Forms SPICe–33 MOA and SPICe–34 AOA.

5.1 MOA and AOA

a. Fill all the information in the forms as per requirement of Table A to J of Schedule I.

b. Affix DSC of Subscriber.

5.2 PAN and TAN

Link to find out of Area Code to file PAN & TAN are given in Help Kit of SPICE Form. PAN/TAN will be generated with the company Registration.

After verification by ROC department, if everything is ok accordingly; then you will get mail from MCA on company registration certificate otherwise get a notice with some issue to resolve.
