Company Registration in India requires a lot of documents in a perfect manner to be presented to the concerned authority i.e., Registrar of Companies (ROC). The founders and directors of the company must ensure that the documents submitted to Registrar of Companies (ROC) are up to the mark, otherwise it will lead to re-submissions or straight away rejection of application for Company Registration.

Category of documents required for company registration in India

The documents required for company registration includes ID and address proof of Subscribers to Memorandum of Association (MOA) and proposed first directors of the company, proof of address of Registered Office of the company, details relating to the share capital of the company, and business activity of the company.

If there is any error any submitting required documents and company gets incorporated then it will lead to legal proceedings and penalties under Companies Act, 2013.

Documents for company registration online

The Registrar of Companies (ROC) is very particular about required documents during online company registration process. Any minor mistakes or even differences are not acceptable, as it will lead to rejections or re-submissions of registration application. So, it is always better whenever you are planning to register a company or to start a business, compile all your needed proofs and documents first, before starting the registration process.

Below mentioned are the mandatory documents to be submitted during the registration process by the directors and shareholders (Indian Nationals or NRI) of the company

· Self-attested copy of PAN card

· Permanent Address Proof – Self-attested copy of voter ID or passport or driving license

· Present Address Proof - Self-attested copy of Bank statement or utility bill (not older than 2 months)

· Passport size photograph

· Specimen signature of first directors

In case of NRI all the documents mentioned above are to be notarized or authenticated (if NRI is currently in a commonwealth country or India). If in a Non- Commonwealth country, all the required documents are to be authenticated or notarized and apostille by the Indian Embassy.

Details regarding the share capital of the company and business activity of the company

The promoters of the company shall provide the details regarding the share capital of the company including the nominal and paid-up share capital of the company

and business activity of the company including the NIC code of business activity of the company.

BASIC REQUIREMENTS TO REGISTER A COMPANY

The basic requirements for company Registration are as follows:

· Proposed Name: It shall have a name which is duly approved by CRC, Registrar of Companies. It is necessary for a Private Limited Company to end its name with the word “Private Limited” and for public limited company to end with words “limited” unless it is Section 8 company.

· Members: Minimum two (2) and maximum two hundreds (200) members can be shareholders of a Private Limited Company. In case of Public company minimum seven (7) members are required, there is no limit on maximum number of members.

· Directors: There shall be at least 2 and a maximum of 15 directors in a Private Company. However, after passing Special Resolution more than 15 directors can be appointed.

· Registered office: Company must have a permanent place of business, which is registered with MCA as Registered Office either at the time of incorporation or within 30 days of incorporation by filing form INC-22 if at the time of incorporation, the company has given the correspondence address.

· Share capital: Company can be incorporated with any amount of share capital. The minimum capital requirement of one or five lakh rupees has been done away.

· Object: Company should have a valid object and objects ancillary to it for which company has got incorporated. It will be appropriate to select the correct NIC code at the time of filing name reservation or company incorporation.

· Professional Certification: To incorporate a Company, Certification of Professional such as CS/CA/CMA in Practice is mandatory.

PROCEDURE FOR COMPANY REGISTRATION IN INDIA

5.	Application for incorporation in SPICe Part B along with AGILE -PRO-S and SPICe MOA and SPICe AOA
6.	Payment of stamp duty and form filing fees either through online payment or though challan
7.	Opening of bank account
