Register LLP Online in India

LLP is a Limited Liability Partnership which is governed by the Government of India through the Ministry of Corporate Affairs, there is a proper law under which the rules and regulations for LLP are framed and it is known as the Limited Liability Partnership Act, 2008. This is the hybrid version of partnership and company and has the features of both like it is a separate legal entity, limited liabilities, has partners instead of directors and shareholders, etc. The LLP is a very good choice for the startups because it is more reliable than a normal partnership, it is administered by ROC which is why it attracts investors. The LLP has to maintain all the financials and other documents regularly and has to do the annual compliance every year so that there will be no penalty leviable on LLP. All these features make LLP registration the most trustable business and to achieve the trust of the customers, stakeholders, investors and to enhance the profit. A minimum of 2 people is required as a designated partner to start LLP registration but there is no maximum limit on the partners even there is no minimum capital requirement, the partners can register their LLP with Rs. 1000/- as well.

Procedure to register LLP

1. Name Approval: The very first thing to do is to reserve the name by the LLP is going to start and the name reservation can be made by filing RUN-LLP form, under this form 2 names can be applied at a time on a preference basis with the summary of business activity and one application can be filed twice if the name is not approved at the first time.

2. DPIN and DSC: Earlier no person can register their LLP without having DPIN but now there is no requirement for such because now the DPIN application is filed along with the registration form. But the designated partner must have DSC (Digital signature) to sign the form.

3. Drafting of Documents: Once the name is approved few documents will be drafted and the same should be signed by the partners and designated partners. In these documents, the detail of the LLP and partners will be mentioned.

4. Final Form Submission: Once all above procedure is completed the final form shall be filled, signed and submitted to the registrar along with all the required documents and fees for their approval. And if the registrar is satisfied with the application he will grant the Certificate of Incorporation.

5. PAN Application: After receiving the certificate a PAN application shall be made to the NSDL Pan Department

6. Initial LLP Agreement: After registration, an agreement shall be drafted, notarized, and signed by the partners of the LLP and this agreement shall be called an LLP agreement and this agreement shall be submitted to the registrar within 30 days from the date of incorporation. The agreement shall be made on the state stamp paper and the value of stamp paper is determined by the amount of capital contribution and the state where the registered office of the LLP is situated.

3. Id proof (Voter Id/Passport/Driving License), anyone
4. Address proof (Bank Statement/Electricity bill/Mobile bill/Telephone bill), anyone

IN THE CASE OF NON-RESIDENT
1. Passport
2. Address proof (bank statement/Mobile bill/or any other document issued by their authority), anyone
These documents should be apostilled and if it is in any other language then a copy of its English translation should be attached to it

REGISTERED OFFICE
1. Sale Deed, if owned or Rent agreement, if rented or any other ownership document
2. Utility bill (Electricity bill/Mobile bill/Telephone bill/Gas bill), anyone
3. NOC from the person whose name is mentioned in the bill

NOTE: All the address proof must not be older than 2 months.
