INVESTMENT OFFERING
Minimum Investment Amount:

Annual Management Fee:
Broker pays the Management Company a monthly management fee in arrears
calculated at the rate of 2.0% per annum of the net assets of broker.
Performance Fee
Net profits and net losses of broker (including realized and unrealized
gains and losses) will be allocated to the partners in accordance with
the ratio of their capital account balances. Subject to a loss carry
forward provision, at the end of each fiscal year, if the capital
account of a limited partner has been allocated net profits (including
net unrealized gains), 20% of such net profits will be reallocated to
the capital account of the General Partner.
High Water Mark:
The General Partner will only receive performance fees on an investor’s investment when its value is in a net profit position.
Redemptions:
A limited partner may, on at least 90 days’ prior written notice,
withdraw all or any part of its capital account attributable to a
particular investment in broker on the last day of each month occurring
after the two year anniversary of such investment; provided, however,
that if broker receives aggregate withdrawal requests as of any
withdrawal date that exceed 10% of the net assets of broker, the amount
of each limited partner’s withdrawal may be reduced.
